DELAWARE INSURANCE COMMISSIONER KAREN WELDIN STEWART RECEIVES JUDGE BATTLE ROBINSON'S PROPOSED FINDINGS REGARDING THE PROPOSED AFFILIATION OF BLUE CROSS BLUE SHIELD OF DELAWARE WITH HIGHMARK
Commissioner Will Undertake Independent Review Before Issuing A Final Order
Dover, DE - Commissioner Karen Weldin Stewart today received Proposed Findings and Recommendations from the Honorable Battle R. Robinson concerning the Proposed Affiliation of Blue Cross Blue Shield of Delaware ("BCBSD") with Highmark, Inc. ("Highmark"). Judge Robinson was appointed by Commissioner Stewart in November 2010 to preside over the prehearing process and to conduct a Public Hearing on the proposed affiliation between Delaware's largest health insurer and Highmark, a much larger entity based in western Pennsylvania. Under the proposal, BDBSD would remain separate and based in Delaware. After receiving thousands of pages of prehearing submissions and comments from the parties, experts, and members of the public, Judge Robinson heard three days of formal testimony beginning on October 5, 2011. She also accepted additional evidence and comment through October 14, 2011. The 75 pages comprising Judge Robinson's recommendations include a proposed Order which would allow the transaction, however would subject the arrangement to over 40 conditions before it can go forward. Commissioner Stewart stated: "I am looking forward to conducting a thorough review of this proposed transaction, and analyzing the testimony and evidence to reach a decision that will be in the best interest of all Delaware citizens. I intend to do what is best for Delawareans now, and in the future. I would especially like to thank Judge Robinson for her great service to Delaware by acting as Hearing Officer of this important matter." Pursuant to Delaware law, Commissioner Stewart will begin her independent review of the record and Judge Robinson's recommendations. During the Commissioner's deliberation, the parties have an additional 20 day period to make additional comments. The parties to the proposed transaction are the applicants, Blue Cross Blue Shield of Delaware Inc., and Highmark, Inc. The Delaware Insurance Department and the Department of Justice are also parties to the proceedings. Following her analysis, Commissioner Stewart will issue a Final Order which will determine whether the affiliation can proceed, and if so, upon what conditions. ###
